Terms of Service

The terms that govern buying, downloading, or using our website, guides, assessments, and reports.

These Terms of Service ("Terms") govern your use of the Position Clarity website, products, guides, assessments, reports, and related services (the "Services"), provided by Shawn McCormick, a sole proprietor operating as Position Clarity ("Position Clarity", "we", "us"). By buying, downloading, or using any of the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. What Position Clarity is, and is not

1.1 Position Clarity is a Canadian, plain-English crypto education and organization business. We help holders understand and organize what they own.

1.2 Position Clarity is not an investment adviser, tax adviser, accountant, lawyer, financial planner, or fiduciary. We are not registered as a securities adviser or dealer. Nothing in the Services is investment, tax, legal, accounting, or financial advice.

1.3 Everything we provide is educational and organizational only. Our assessments describe a holder's current setup. They do not tell you what to buy, sell, or hold, and they do not value your assets.

2. The assessment method

2.1 Our method is a diagnostic that describes a holder's setup across a set of lenses (currently Custody, Access, and Concentration, expanding over time to additional pillars such as Recovery, Tax, Liquidity, Regulatory, Technology, and Governance).

2.2 The output is descriptive bands and narrative. We do not issue numeric grades, scores, ratings, or a buy, sell, or hold verdict.

2.3 The assessment reflects the information you give us at the time. It is a snapshot. It is not monitoring, and it does not update on its own. You are responsible for the accuracy and completeness of the information you provide.

3. No secrets, no custody

3.1 Do not send us private keys, seed phrases, recovery phrases, passwords, PINs, or any credential that controls your assets. We do not need them and we do not want them.

3.2 Position Clarity never takes custody of your crypto, fiat, or accounts. We do not hold, move, or have access to your assets.

4. Retail customers (individual holders)

This Section 4 applies if you are using the Services for yourself.

4.1 Diagnostic only. The assessment, the Position Clarity Review, the Estate & Access Kit, and any guide or report are diagnostic and educational. They describe your setup. They are not investment advice.

4.2 No recommendations. Position Clarity does not recommend specific crypto assets, tokens, products, platforms, custody arrangements, or strategies, and does not tell you to buy, sell, or hold anything.

4.3 Get licensed advice before acting. Before making any investment, tax, legal, or estate decision, consult a licensed or qualified professional (for example a registered investment adviser, a CPA, or a lawyer) who can consider your full circumstances. Any action you take based on our Services is your own decision and your own responsibility.

4.4 Your responsibility. You are responsible for your own decisions, for the security of your own assets and accounts, and for the accuracy of what you tell us.

5. Fiduciary customers (advisers, lawyers, wealth managers)

This Section 5 applies if you are a financial adviser, estate lawyer, wealth manager, or other professional using the Services with or for your clients, including under any white-label arrangement.

5.1 What we provide. Position Clarity provides diagnostic methodology, tools, and reports. We describe a client's setup. We do not advise the client.

5.2 You own the advice. You are solely responsible for all recommendations, advice, and decisions you give your clients. You are solely responsible for your own compliance, registration, licensing, fiduciary duties, suitability and know-your-client obligations, disclosures, and record-keeping. Our reports are an input to your work, not a substitute for your professional judgment.

5.3 We are not a fiduciary to you or your clients. Position Clarity is not a fiduciary, adviser, or agent of you or of any of your clients, and owes no fiduciary or advisory duty to either. We assume no liability for any action or decision taken by you or by any client based on, or in connection with, our reports, tools, or methodology.

5.4 No reliance as advice. A Position Clarity report is descriptive. It is not a recommendation to you or your client, and it must not be presented to a client as investment, tax, legal, or financial advice from Position Clarity.

5.5 Indemnity. To the extent permitted by law, you agree to indemnify and hold Position Clarity harmless from claims, losses, and costs arising out of your advice to your clients, your compliance failures, or your use of the Services with your clients.

6. Licensing of reports (fiduciary use)

6.1 If you are a fiduciary customer, you may use Position Clarity reports with your own clients for your advisory work only.

6.2 You may not, without our written agreement:

  • resell or sublicense the reports, tools, or methodology;
  • white-label, rebrand, or present the methodology or reports as your own method or product;
  • redistribute, republish, or share reports outside the client engagement they were produced for; or
  • use the reports to build, train, or market a competing assessment or methodology.

6.3 Any white-label arrangement is available only under a separate written agreement with Position Clarity and is subject to its terms. Absent that agreement, white-labelling is not permitted.

7. Intellectual property

7.1 Position Clarity retains all intellectual property rights in and to the assessment methodology, the lenses and pillars, the descriptive bands and narrative framework, the templates, the report formats, the guides, the software, and all related content. Nothing in these Terms transfers ownership of any of this to you.

7.2 Fiduciary licence. Subject to these Terms and to payment, Position Clarity grants fiduciary customers a limited, non-exclusive, non-transferable, revocable licence to use the method and the resulting reports with their own clients for advisory purposes only. This is a licence to use, not a sale of the method, and it does not grant any ownership or any right to the underlying methodology.

7.3 Retail licence. Retail customers receive a personal, non-commercial licence to use the guides, kit, and reports they purchase for their own organization and education. You may not resell or redistribute them.

7.4 The Position Clarity name, logo, and "Decoded" brand are our marks. Do not use them without written permission.

8. Payment, fulfilment, and refunds

8.1 Prices are in Canadian dollars and are shown at checkout. Current products include free guides, paid field guides (from CAD $2.99), the Estate & Access Kit (CAD $297 one-time), and the Position Clarity Review (CAD $197 one-time). Payments are processed by Stripe under Stripe's own terms. We do not store your full card details.

8.2 The Review and the Kit are fulfilled personally and manually. We state the expected turnaround at purchase (currently three business days from receiving what we need from you). If we cannot complete an order, we will refund it in full.

8.3 Refunds. The Position Clarity Review, the Estate & Access Kit, and the paid guides carry a 14-day money-back guarantee: if you are not satisfied with your purchase, email shawn@positionclarity.ca within 14 days of delivery for a full refund, no questions asked. This is in addition to, and does not limit, any refund or cancellation right you have under applicable Canadian consumer-protection law.

9. Disclaimers

9.1 The Services are provided "as is" and "as available". To the extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose.

9.2 We do not warrant that the Services are error-free, that any band or narrative is complete, or that any outcome will follow from using them. Crypto involves risk, including total loss. You bear that risk.

10. Limitation of liability

10.1 To the extent permitted by law, Position Clarity is not liable for any indirect, incidental, or consequential loss, or for lost profits, lost assets, or lost data, arising from your use of the Services.

10.2 To the extent permitted by law, our total liability for any claim relating to the Services is limited to the amount you paid us for the specific product giving rise to the claim in the 12 months before the claim.

11. Your conduct

You agree to give accurate information, to use the Services lawfully, not to share secrets with us, and not to copy, scrape, or reverse-engineer the methodology or software except as the law allows.

12. Changes, suspension, and termination

12.1 We may update these Terms. The version in effect is the one posted on the site at the time you use the Services. Material changes will be noted on the site.

12.2 We may suspend or end access to the Services for breach of these Terms, including breach of the licensing or IP terms.

13. Governing law and disputes

These Terms are governed by the laws of Ontario and the federal laws of Canada that apply there. Subject to any right you have under applicable consumer-protection law to bring a claim in your own local courts, disputes are subject to the courts of Ontario.
